Consultancy Agreement & Operating Framework

1. Nature of Services The Provider delivers SEO, CRO, conversion-focused website optimisation, content alignment, strategic advisory, analytics interpretation, and related consultancy services (the “Services”). The Services are delivered on a best-efforts and professional-judgement basis, using evidence-led and iterative optimisation practices. Unless otherwise agreed in writing, the Services do not constitute software development, hosting, website support, emergency response work, or permanent maintenance activity.
2. Working Hours, Scheduling & Delivery Rhythm The Client acknowledges that, due to the nature of consultancy and optimisation work, activities may be performed during standard business hours, outside normal working hours, and/or on weekends, where reasonably required to meet delivery objectives or minimise disruption to live systems. Work scheduling does not affect the agreed fees. During public holidays or recognised holiday periods, work progress may temporarily reduce. Such delays shall not incur additional charges.
3. Payment Terms & Project Commencement To ensure resource allocation and project commitment, the following payment framework applies:
- 3.1 Project Initiation: While the Provider may perform preliminary planning and basic administrative tasks upon verbal or written agreement, no project-specific deliverables or in-depth work will commence until the required deposit or payment has been received.
- Exception: For established past clients with a positive payment history, the Provider may, at their sole discretion, begin more in-depth work prior to receipt of payment.
- 3.2 SEO & CRO Plans (Quickstart, Growth, Foundation): These services are provided on a monthly recurring or fixed-phase basis. Full payment for the upcoming month’s work is required upfront before any optimisation tasks are performed.
- 3.3 Site Building & Development:
- A minimum deposit of 20% of the total project value is required to secure the project start date.
- Full remaining payment is required upon completion of the final demo and prior to the live release/migration of the website.
4. Project Plan, Scope & Fee Stability For each engagement or phase of work, a project plan and scope outline will be agreed upon. Fees quoted for that scope shall remain fixed until completion of the agreed work. Additional charges apply only where the Client requests extended deliverables or material changes arise. The project plan is a working framework; the Provider may recommend adjustments to priorities where beneficial to the Client’s objectives.
5. Search Engines & Algorithm Changes The Client acknowledges that search engines (Google, Bing, etc.) operate independently and change ranking algorithms without notice. The Provider shall not be held responsible for ranking fluctuations, traffic changes, loss of visibility, or penalties arising from external platform updates beyond the Provider’s control.
6. Impact of CRO, Content & Structural Changes Implementation of CRO improvements or structural adjustments may result in temporary ranking or traffic movement as search engines re-evaluate pages. The Provider shall not be liable for variations arising as a natural consequence of good-faith optimisation work.
7. Client & Third-Party Changes Where the Client or a third party (developer/host) modifies site content, code, or settings without consultation, the Provider is not responsible for performance loss or broken functionality. Diagnosis of such issues may be chargeable at standard consultancy rates.
8. Use of Third-Party Software & Tools The Provider utilizes third-party software (analytics, reporting, SEO tools). These remain the property of their owners. The Provider is not liable for vendor outages, API limits, or pricing changes imposed by these platforms.
9. Bundled Access to AWE Software (D-Plan) Complimentary or bundled access to AWE platform functionality (including the “D Plan”) is a goodwill benefit, not a guaranteed deliverable. Access may be amended, replaced, or withdrawn at the Provider’s discretion and does not imply lifetime entitlement.
10. No Guarantee of Specific Results The Provider exercises professional judgement but does not guarantee specific rankings, traffic volumes, conversion rates, or commercial outcomes. Services are provided on a best-efforts and evidence-driven basis.
11. Audit, Monitoring & Remediation Performance issues or opportunity gaps identified during review will be documented and incorporated into a forward improvement plan. Implementation may be performed by the Provider or Client’s developer subject to agreement.
12. Limitation of Liability To the fullest extent permitted by law, the Provider’s total aggregate liability shall not exceed the total fees paid by the Client for the affected engagement period.
- 12.1 Google/Meta Ads: If the client changes their Ad Spend or Ad Creatives without consulting the Provider, the Provider is not responsible for the resulting conversion drop-offs.
13. Governing Law & Jurisdiction These Terms shall be governed by and construed in accordance with the laws of Malta. Any disputes shall be subject to the exclusive jurisdiction of the Maltese courts.
